Terms of Service

By accessing or using https://bijnis.xyz or subscribing to any bijnis.xyz service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you ("Customer", "you") and SOT Labs ("bijnis.xyz", "we", "us"), a company incorporated under the laws of India.

bijnis.xyz offers the following subscription-based services:

• Seed Plan (₹999/month): Professional business website creation, free hosting and domain setup, mobile-optimized design, and basic on-page SEO.
• Vistar Plan (₹2,999/month): All Seed features plus Google Business Profile setup, GBP keyword optimization, Google Maps integration, monthly performance reports, and WhatsApp priority support.
• Shikhar Plan (₹7,499/month): All Vistar features plus multi-location GBP management, business listings on 50+ platforms, review management, monthly competitor analysis, and a dedicated account manager.

A one-time setup fee of ₹500 applies to all new accounts. All prices are exclusive of GST. GST at 18% will be added to the invoice.

We reserve the right to modify service features or pricing with 30 days' notice to existing subscribers.

• You must provide accurate, current, and complete information during onboarding.
• You are responsible for maintaining the confidentiality of any login credentials we provide.
• You must promptly notify us of any unauthorized access to your account.
• You may not share your account or allow third parties to use our services on your behalf without our written consent.
• You represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of your business.

• Subscriptions are billed monthly in advance.
• Payment is due within 7 days of the invoice date. Failure to pay may result in service suspension.
• We accept UPI, Net Banking, credit/debit cards, and NEFT. All transactions are in Indian Rupees (INR).
• Taxes (GST) are charged as applicable under Indian law. You are responsible for any withholding taxes applicable in your jurisdiction.
• We will provide GST-compliant invoices for all payments.
• Disputed invoices must be raised within 14 days of the invoice date.

5.1 Cancellation by Customer

• You may cancel your subscription at any time with 30 days' written notice via email or WhatsApp.
• Upon cancellation, your access to services continues until the end of your current billing period.
• No refunds are provided for the remaining unused portion of a billing period, except as provided under our Refund Policy.

5.2 Termination by bijnis.xyz

• We may suspend or terminate your account immediately for: non-payment, violation of these Terms, abusive behaviour toward our team, or fraudulent use of services.
• Upon termination, we will provide you with a copy of your website content within 14 days.
• We reserve the right to discontinue any service with 60 days' notice, in which case a prorated refund for prepaid services will be issued.

6.1 Customer Content

You retain all ownership rights to content you provide (business name, logo, photos, text). You grant bijnis.xyz a non-exclusive, royalty-free licence to use your content solely to provide the services described herein.

6.2 bijnis.xyz Content

Website templates, code, tools, and other proprietary materials created by bijnis.xyz remain our intellectual property. Upon full payment of subscription fees, you receive a non-transferable licence to use the website we build for you as long as your subscription is active.

Website files and content may be exported upon cancellation. Template IP remains with bijnis.xyz.

You agree not to use our services to:

• Violate any applicable Indian or international laws.
• Publish false, misleading, defamatory, or fraudulent business information.
• Infringe the intellectual property rights of any third party.
• Distribute malware, spam, or engage in phishing activities.
• Impersonate another business or individual.
• Operate in industries prohibited under Indian law (illegal gambling, unlicensed financial services, etc.).
• Violate Google's Terms of Service or Google Business Profile policies.

Violation of this section may result in immediate termination without refund and may be reported to relevant authorities.

bijnis.xyz offers a 30-day performance guarantee: if your business does not rank in the top 5 Google search results for your primary "[service] near me" keyword within 30 days of your Google Business Profile going live, we will continue providing services at no additional charge until you achieve that ranking.

The guarantee applies to new subscribers on the Vistar and Shikhar plans who complete onboarding within 5 days of signup and provide all required business information. Full terms are set out in our Refund Policy.

9.1 No Guarantee of Specific Results

While we work diligently to improve your online visibility, search engine rankings are determined by Google's algorithms, which are outside our control. We do not guarantee specific ranking positions, traffic volumes, or revenue outcomes beyond the 30-day guarantee described above.

9.2 Limitation of Liability

To the maximum extent permitted by Indian law, bijnis.xyz's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to bijnis.xyz in the 3 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including lost profits, loss of business, or loss of data.

9.3 Third-Party Services

We use third-party platforms including Google, WhatsApp, and others. We are not responsible for changes to their platforms, APIs, or policies that may affect our ability to deliver services.

You agree to indemnify and hold harmless bijnis.xyz, SOT Labs, and their officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from: (a) your use of our services, (b) content you provide to us, (c) your violation of these Terms, or (d) your violation of any applicable law.

These Terms are governed by the laws of India. Any dispute arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation within 30 days.

If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Jaipur, Rajasthan. The language of arbitration shall be English.

You agree that the courts at Jaipur, Rajasthan shall have exclusive jurisdiction for any matters not subject to arbitration.

We may modify these Terms at any time. We will provide at least 14 days' notice to existing subscribers before material changes take effect (via email or WhatsApp). Your continued use of our services after notice constitutes acceptance of the updated Terms.

• Entire agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and bijnis.xyz.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver: Our failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign ours as part of a business transfer.
